Order

Prices and distributor discounts are subject to change without notice. Orders are accepted on the basis that the prices applying to them will be those in effect at the date of shipment, unless otherwise specified at acceptance of order.

We reserve the right to adjust prices on any order for any alternations or changes authorized by the purchaser subsequent to our acceptance of the order.

Taxes

Federal and Provincial Sales Taxes, or any government trading or consumer taxes, are not included in our published price list.

Terms:

Arrangement for payment is due upon ordering. Payment of Distributor invoices is due within 30 days of the invoice date.

A service at the rate of 2% per month will be charged on overdue accounts.

Quotations:

All quotations are in accordance with our interpretation of plans and specifications and only the materials shown on our quotation are included.

In the event that a quotation is not accepted in its entirety, Willett Manufacturing Ltd. reserves the right to decline any part of the order based on the quotation.

Errors:

All stenographic, clerical, or other errors are subject to correction.

Cancellation:

A charge of 15% of list price will be applied on any cancellation after the order has been released to production.

Liability Clause:

Willett Manufacturing Ltd., will not be liable for any delay in the performance of orders or contracts or in the delivery of shipment of goods or for any damages suffered by the purchaser by reason of such delay when such delay is directly or indirectly caused by fires, floods, accidents, riots, acts of God, sabotage, strikes, labour difficulties or any other cause beyond the company's reasonable control.

Acceptance of Orders:

All orders are subject to final acceptance by Willett Manufacturing Ltd. and are subject to the company’s terms and conditions in effect at time of acceptance. Willett Manufacturing Ltd. retains ownership of all materials shipped until payment of said materials is received.

Product Modification and Substitution:

Willett Manufacturing Ltd. reserves the right to change or modify at any time without notice, any product or any material used in the fabrication of its products, or to discontinue the manufacture of any product.

Packing:

Prices include the cost for standard packing only. Any special packing required will be at the expense of the purchaser.

Delivery:

Willett Manufacturing Ltd. reserves the right to make shipments of equipment as fabrication is completed. Shipments delayed to accommodate the purchaser will be invoiced upon completion of fabrication.

Delivery is dependent upon prompt receipt of all specification and any other essential details for proper execution of purchaser's order.

Shipments:

Prices are F.O.B. factory.

Guarantee:

All equipment or apparatus is guaranteed against defective material and/or workmanship for a period of one year from date of shipment.

This guarantee is being limited to the repair or the replacement of the material at the option of Willett Manufacturing Ltd. Willett Manufacturing Ltd. does not assume responsibility for unauthorized repairs to the equipment even though defective.

Willett Manufacturing Ltd. assumes no responsibility for damages to equipment through improper installation or through attempts to operate it, or its operation outside the range of its rated capacity, whether such operation is intentional or otherwise.

Willett Manufacturing Ltd. assumes no liability for consequential damages in case of failure to meet the conditions of any guarantee.

Returns:

To be returned for credit:

Equipment may be returned only upon authorization obtained from Willett Manufacturing Ltd., otherwise the shipment cannot be accepted.

To be returned for replacement or repair:

If the equipment is under guarantee and the return is made necessary because of defects in material and/or workmanship, provided permission is obtained from Willett Manufacturing for its return, the company will repair or replace the defective goods "no charge" F.O.B factory, and will assume all transportation charges. If the equipment is not under guarantee and/or the defect is not the company's responsibility, or used equipment is being returned for repair, no transportation will be incurred by Willett Manufacturing Ltd.

Penalty Clauses:

Willett Manufacturing Ltd. will not accept any liability for penalty clauses of any kind, written or implied, unless specifically approved in writing by the company.
